4. Client Obligations
The Client agrees to provide accurate information, access to necessary accounts, materials, and approvals in a timely manner to allow us to perform the Services. Delays caused by the Client may affect delivery timelines.

5. Payment Terms
Fees for Services will be as set forth in the proposal or order form. Unless otherwise agreed in writing, all invoices are due within the period specified in the invoice. Late payments may incur interest or suspension of services.

6. Intellectual Property
All creative works, deliverables, and materials provided by Imarketix LLC remain our intellectual property until full payment has been received. Upon full payment, ownership transfers to the Client, except for pre-existing materials and tools we use to deliver Services.

7. Confidentiality
Both parties agree to keep confidential all non-public information received during the engagement. This obligation continues after termination of services.

8. Limitation of Liability

9. Termination
We may suspend or terminate Services if the Client fails to comply with these Terms or fails to pay any undisputed amount due after notice. The Client may terminate with written notice, subject to any cancellation terms in the engagement agreement.

10. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Omarketix LLC is registered, without regard to conflicts of law principles.

11. Changes to Terms
We reserve the right to modify these Terms at any time. Updated Terms will be posted on this page with a new date. Continued use of the Site or Services after such changes constitutes acceptance.
